Eligibility

Service access is available to individuals and organizations that can form legally binding relationships under applicable law. By using PemimNowPro services you represent that you meet eligibility requirements and have the authority to enter into these Terms on behalf of any organization you represent.

Clients must be at least 18 years old to contract for services; if engaging on behalf of an organization, the signatory must be authorized and of legal age.

Services must be used lawfully and in accordance with these Terms. Users must not engage in activities that infringe rights, violate applicable law, or disrupt service delivery.

Availability of services may be subject to local regulatory or licensing restrictions. PemimNowPro operates from Malaysia and may restrict or modify offerings to comply with local laws.

Account and Client Information

Where an account is provided, clients are responsible for maintaining accurate information and for activity conducted under their account credentials. Account access facilitates scheduling, document platform, and communication related to coaching engagements.

Clients must provide complete and accurate information required for the provision of services and update records as necessary to keep data current.

Clients are responsible for safeguarding login credentials and preventing unauthorized access. Notify PemimNowPro promptly if there is any suspected account compromise.

Accounts and any associated rights are personal and may not be transferred without prior written consent from PemimNowPro.

PemimNowPro may suspend or restrict access to services for accounts that violate these Terms, for security reasons, or to comply with legal obligations.

Service Description

PemimNowPro provides executive leadership coaching, director coaching, board advisory sessions, and related professional development services. Services include one-to-one coaching, group workshops, diagnostic assessments, and advisory consultations tailored to organizational needs.

Service features, formats, pricing, or availability may change. PemimNowPro will provide reasonable notice of significant changes to services where possible.

Scheduling and availability are subject to coach calendars and operational considerations. Sessions may be delivered in person or remotely by agreement. PemimNowPro strives to maintain reliable access but does not guarantee uninterrupted service.

User Conduct Rules

Clients and participants are expected to act professionally and respectfully during engagements. The following conduct is required:

• Treat coaches and fellow participants with respect and refrain from abusive or discriminatory language.
• Provide accurate information relevant to coaching work and share information transparently where required for effective engagement.
• Comply with any documented confidentiality agreements applicable to coaching or advisory sessions.
• Refrain from recording sessions unless all parties provide explicit consent.
• Use provided materials only for intended coaching purposes and respect intellectual property notices.
• Avoid conflicts of interest and disclose any potential conflict that may impact coaching outcomes.
• Follow scheduling and cancellation policies outlined in the paid services section.

User-Provided Materials

Clients may provide documents, assessments, or other materials to support coaching. Such materials are considered user-provided content and are subject to the following provisions.

Clients retain ownership of intellectual property rights in their pre-existing materials. PemimNowPro does not claim ownership of client documents submitted for coaching purposes.

By sharing materials with PemimNowPro, clients grant a limited license for use of those materials solely for the provision of coaching services, internal analysis, and preparation of session materials.

Clients are responsible for ensuring they have the rights to share any materials provided and that content does not infringe third-party rights or contain unlawful content.

Clients may request removal of certain materials; PemimNowPro will respond consistent with privacy obligations and operational needs, subject to any legal retention requirements.

Intellectual Property

All PemimNowPro proprietary content, including course materials, frameworks, guides, and branding, is protected by intellectual property laws. Clients may use materials for internal, non-commercial purposes only unless a separate license is granted.

• Do not reproduce, distribute, or sublicense PemimNowPro proprietary materials without written permission.
• Do not remove or alter copyright, activity, or other proprietary notices from materials.
• Do not use PemimNowPro brand assets or logos in external communications without prior authorization.

Paid Services

Certain services, assessments, and extended coaching packages are provided for a fee. Pricing and payment terms are specified in proposals, invoices, or subscription agreements provided to clients.

Pricing is presented in proposals or on invoices and is determined based on scope, duration, and the nature of services. Fees are exclusive of applicable taxes unless otherwise stated.

Payments are due according to the invoice terms. Accepted payment methods will be detailed in the invoice. Late payments may incur interest or suspension of services.

Where subscription arrangements exist for periodic services, the subscription will continue until canceled in accordance with the subscription terms. Cancellation procedures will be specified in the subscription agreement.

Refunds and credits are handled on a case-by-case basis and depend on the nature of the service and the time at which a cancellation or claim is raised. Refunds are not automatic and are subject to the terms in the applicable engagement agreement.

Cancellation policies vary by service. For scheduled coaching sessions, notice requirements and any applicable fees will be set out in the engagement documentation.

Clients are responsible for any taxes, duties, or levies imposed by relevant tax authorities in connection with service payments unless otherwise agreed.

PemimNowPro may update pricing for future services with reasonable notice. Existing agreements will be honored according to their stated terms unless renegotiated.

Failure to pay may result in suspension of services, and PemimNowPro may pursue collection and recover associated costs to the extent permitted by law.

Professional Disclaimer

Coaching and advisory services offered by PemimNowPro are intended to provide professional development, leadership coaching, and governance-related guidance. These services are not a substitute for legal, business, medical, or other professional advice. Clients should consult licensed professionals for matters requiring specialized legal or regulated expertise.

Limitation of Liability

To the extent permitted by law, PemimNowPro's liability for direct damages arising from its services is limited to the amount of fees paid for the specific service giving rise to the claim. PemimNowPro is not liable for indirect, incidental, or consequential damages. Nothing in these Terms is intended to limit liability where such limitation is prohibited by applicable law.

Third-Party Providers

PemimNowPro may engage third-party providers for tools, assessments, or platform services used to deliver coaching. Use of third-party services is subject to separate terms and privacy practices of those providers. PemimNowPro undertakes reasonable diligence in selecting vendors but is not responsible for third-party failures.

Termination

Either party may terminate an engagement in accordance with the termination provisions set out in the engagement agreement. PemimNowPro may terminate services immediately for material breach, non-payment, or conduct that impairs service delivery.

Upon termination, outstanding fees and expenses remain payable. Termination does not affect rights or obligations that by their nature should survive, including confidentiality and intellectual property provisions.

Privacy Notice

By using PemimNowPro services, clients acknowledge receipt of and consent to the practices described in the Privacy Policy. Personal data will be processed to provide coaching services, conduct administrative functions, and comply with legal obligations.

Communications

PemimNowPro may send administrative, billing, and service-related communications by email, phone, or postal mail. Promotional communications will be sent based on consent or legitimate interest where permitted; recipients can opt out at any time.

Changes to Terms

PemimNowPro may update these Terms to reflect changes in services, legal requirements, or business practices. Material changes will be communicated on PemimNowPro.pro and, where appropriate, through direct client notices.

Governing Law

These Terms are governed by and construed in accordance with the laws of Malaysia, without regard to conflict of law principles. Parties submit to the exclusive jurisdiction of Malaysian courts for disputes arising under these Terms unless otherwise agreed in writing.

Dispute Resolution

PemimNowPro seeks to resolve disputes amicably. If a dispute cannot be resolved through informal discussions, parties may pursue mediation or other agreed alternative dispute resolution mechanisms before initiating court proceedings.
